As the Manager, Equity Administration, you will oversee the administration and management of equity compensation programs, which can include stock options, ESPP and restricted stock units. You will be responsible for ensuring compliance with regulatory and tax requirements, external and internal reporting requirements and supporting employees in understanding their equity compensation.
The ideal candidate will have a strong background in equity administration, exceptional attention to detail, and the ability to work collaboratively across departments.
This is a remote opportunity within Canada and the US.
What we're looking for:
- Minimum of 5 years of experience in a management role in equity administration and at least 1 year of people management experience.
- Proven track record of developing and implementing effective equity strategies that align with business objectives.
- Excellent analytical and problem-solving skills, with the demonstrated ability to interpret complex data, identify trends, and use insights to make data-driven decisions.
- Exceptional communication and interpersonal skills, with the ability to collaborate effectively across multiple departments and influence stakeholders at all levels.
- Detail-oriented mindset with strong attention to detail skills.
- Proven knowledge of equity regulations and applicable tax laws impacting equity transactions.
- Demonstrated expertise in using Excel to analyze large data sets (i.e. intermediate level for formulas, pivot tables, VLOOKUPs) and experience with other BI tools such as Looker or Tableau.
- Experience using an equity platform such as Shareworks.
- Experience with handling confidential information with a high level of integrity.
- Preferred: University degree or equivalent in business and/or commerce.
- Preferred: CEP certified or working towards the certification.
What you can expect:
- Oversee the development, administration and reporting of equity administration and reporting processes (e.g, data analysis, reconciliation, and equity grant calculations) including the maintenance of accurate records of equity transactions ensuring compliance with regulatory requirements and company policies.
- Contribute to the development and implementation of comprehensive equity management strategies aligned with the company's goals and objectives.
- Collaborate with key stakeholders to define and improve equity plans, ensuring they are competitive, compliant, and motivate desired behaviors.
- Manage the equity process and staff while providing guidance, performance feedback, and professional development opportunities.
- Collaborate with the HR team to research and advise on equity compensation issues, disputes and provide analysis to facilitate resolution.
- Perform ad hoc reporting, analysis and projects as required.
- Equity Administration
- Manage the administration and maintenance of equity programs, including new equity awards, option exercises, equity transactions, terminations and cancellations.
- Coordinate with HR, Accounting, and Legal teams to ensure seamless execution of equity grants, exercises, and vesting events.
- Prepare and distribute equity-related communications to employees, including grant agreements, vesting schedules, and tax information. Manage the equity administration platform, ensuring data integrity and accuracy.
- Manage the communication between employees and the equity team by responding to employee inquiries on a timely basis.
- Work closely with the payroll team to ensure that withholding taxes for employee exercises are reported and captured accurately for payroll processing.
- Manage the monthly, quarterly, and year-end reporting of our equity incentive program, which includes the record keeping of equity activity in Shareworks.
- Prepare the quarterly reporting to the Board and and investor reporting
- Review the quarterly 409A valuation refresh and the management of the blackout periods.
- Maintain and update our system of record for changes in Shareworks employee information including new hires, terminations, promotions.
- Ensure accuracy, timeliness and integrity of all equity information in Shareworks and our master filesReview monthly, quarterly and year-end reporting of our equity incentive program which includes the record keeping of equity activity in Shareworks.
- Partner with the accounting department to review the supporting documentation for the equity note disclosures for the quarterly and annual financial statements.
USA-based roles only: The annual base salary for this role is between $127,000 USD and $171,000 USD, plus immediate participation in 1Password's benefits program (health, dental, 401k and many others), utilization of our generous paid time off, an equity grant and, where applicable, participation in our incentive programs.
Canada-based roles only: The annual base salary for this role is between $111,000 CAD and $150,000 CAD, plus immediate participation in 1Password’s generous benefits program (health, dental, RRSP and many others), utilization of our generous paid time off, an equity grant and, where applicable, participation in our incentive programs.
